Mervia Shopping AI — Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Mervia Shopping AI application available through ChatGPT (the "Service"). By using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. About the Service

Mervia Shopping AI is an AI-powered shopping assistant that helps you discover, compare, and learn about products from participating online stores. The Service is accessible through the ChatGPT platform as a third-party application.

The Service allows you to:

  • Search for products across participating stores
  • View product details including descriptions, specifications, pricing, and availability
  • Receive personalized product recommendations based on your queries
  • Access links to purchase products on participating store websites

2. Eligibility and Geographic Scope

You must be at least 13 years of age to use the Service. If you are under 18, you may only use the Service with the involvement of a parent or guardian. By using the Service, you represent that you meet these requirements.

The Service is available to users worldwide through the ChatGPT platform. Regardless of where you access the Service, these Terms are governed by the laws of the State of Delaware (see Section 14). You are responsible for compliance with any local laws applicable to your use of the Service in your jurisdiction.

3. Use of the Service

a) Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Attempt to interfere with, disrupt, or compromise the integrity of the Service
  • Use automated tools, bots, or scripts to access the Service outside of normal ChatGPT usage
  • Misrepresent your identity or affiliation when using the Service
  • Attempt to extract, scrape, or systematically download product data from the Service

b) ChatGPT Platform

The Service operates within the ChatGPT platform provided by OpenAI. Your use of ChatGPT is governed by OpenAI's terms of use and policies. These Terms govern only your interaction with the Mervia Shopping AI application within that platform.

4. Product Information and Accuracy

a) Information Provided by Third Parties

The product information displayed through the Service — including descriptions, specifications, pricing, images, and availability — is sourced from participating online stores. We strive to keep this information accurate and up to date, but we do not guarantee the accuracy, completeness, or timeliness of any product information.

b) Pricing and Availability

Product prices and availability shown through the Service are for informational purposes only and may differ from the actual prices and availability on the store's website at the time of purchase. The Service does not constitute an offer to sell any product. All purchases are made directly through the participating store's website and are subject to that store's terms and conditions.

c) AI-Generated Recommendations

The Service uses artificial intelligence to generate product recommendations and responses. While we aim to provide helpful and relevant information, AI-generated content may occasionally be inaccurate, incomplete, or not suited to your specific needs. You should verify important product details directly with the store before making a purchase decision.

5. Purchases and Transactions

The Service does not process payments or facilitate transactions directly. When you click a product link, you will be briefly redirected through our event tracking service (event.mervia.ai) for anonymous click attribution before being forwarded to the third-party store website. This redirect is transparent and happens within the normal link-click experience. For details on the data collected during this redirect, see our Privacy Policy (Section 1c).

Any purchase you make is a transaction between you and that store, governed by the store's own terms of sale, return policies, and customer service procedures. Mervia is not a party to any such transaction and assumes no liability for purchases made through linked stores.

6. Intellectual Property

a) Our Content

The Service, including its design, features, AI models, and underlying technology, is owned by Mervia AI, Inc. and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

b) Product Content

Product names, images, descriptions, and trademarks displayed through the Service belong to their respective owners (the participating stores and brands). Their appearance in the Service does not imply endorsement by or affiliation with Mervia.

c) Your Content

By submitting queries and messages through the Service, you grant Mervia a non-exclusive, royalty-free, worldwide license to use, process, and store your messages for the purpose of providing the Service, improving its quality, and generating anonymous aggregate insights as described in our Privacy Policy.

7. Privacy and Data

a) Privacy Policy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

Key points:

  • We collect your chat messages to provide and improve the Service
  • We do not directly collect your IP address, browser information, or device data
  • We use anonymized session data to improve recommendation quality
  • During a conversation, we may build a temporary shopping preference profile (budget, scenario, style) to improve recommendations; this profile is stored in server memory only and is automatically deleted when the session ends
  • When you click a product link, we track the click anonymously through our event tracking service for recommendation effectiveness measurement
  • We may share anonymous, aggregated data with the stores whose products are featured — your personal identity and chat transcripts are never shared

b) Data Retention and Deletion

Your chat messages and conversation data are retained to support ongoing conversations and service improvement. You may request deletion of your personal data at any time by contacting us at support@mervia.ai. We will process deletion requests within 30 days. Anonymized data that has already been processed for service improvement cannot be individually deleted, as it is no longer associated with any individual. For full details, see our Privacy Policy.

c) Data Security

We implement security measures to protect your information, including encrypted data transmission (HTTPS/TLS), role-based access controls, rate limiting, and infrastructure hosted on Google Cloud Platform with industry-standard security controls. In the event of a data breach that affects your personal information, we will notify affected users and relevant authorities as required by applicable law.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, MERVIA DOES NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • PRODUCT INFORMATION, PRICING, OR AVAILABILITY WILL BE ACCURATE OR CURRENT
  • AI-GENERATED RECOMMENDATIONS WILL BE SUITABLE FOR YOUR NEEDS
  • ANY DEFECTS IN THE SERVICE WILL BE CORRECTED

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERVIA AI, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

  • LOSSES FROM PURCHASES MADE THROUGH LINKED STORES
  • RELIANCE ON PRODUCT INFORMATION OR AI-GENERATED RECOMMENDATIONS
  • INABILITY TO ACCESS OR USE THE SERVICE
  • UNAUTHORIZED ACCESS TO YOUR DATA

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO MERVIA, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Mervia AI, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or your violation of these Terms.

11. Modifications to the Service and Terms

a) Service Changes

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

b) Terms Changes

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and revising the "Effective Date." Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

12. Termination

We may suspend or terminate your access to the Service at any time, without prior notice, if we believe you have violated these Terms or if we discontinue the Service. Upon termination, your right to use the Service ceases immediately.

13. Reporting Issues and Service Complaints

If you experience a problem with the Service — such as a bug, inaccurate information, or a concern about how the Service is being used — please contact us at support@mervia.ai. We will make reasonable efforts to acknowledge your report within 5 business days and to resolve the issue promptly.

If you are unable to resolve a concern through our support process, you may pursue the formal dispute resolution procedures described in Section 14.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

We encourage you to contact us first at support@mervia.ai to resolve any dispute informally. If a dispute cannot be resolved informally within 30 days, it shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction. You agree to resolve disputes on an individual basis and waive any right to participate in a class action.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
